We have 110 + member firms in some 95+ countries offering a broader global reach than any law firm. We can deliver a consistent value-added service almost anywhere in the world, be it Europe, Africa, the Middle East, the Americas or Asia.

Our firms are expert in their fields, entrepreneurial and extremely well connected in their local markets. This means that our member firms are adept at providing clients with cost-effective services and practical legal solutions molded to the local legal and socio-economic context.

Globalaw is now over 20 years old. It generally has one firm in each jurisdiction, so chooses its firms carefully. It has grown cautiously and prioritizes responsive performance.

Our members meet together annually at our three regional and one global meetings, during which we deepen our personal and professional relationships.

While most of our member firms work regularly with GCs, we have also for the past ten years been frequently engaged with GCs at our meetings. GCs attend our regional and annual meetings and participate in our business programmes.

Our member firms are all full-service law firms and generally range from top 100 to top 5 leading law firms in their jurisdiction.

Case studies

Examples of some of the cases that have worked on include:

Global M&A – Aspen Pharma acquired 3 drugs from GSK for $1bn

A large global generic drugs company (AspenPharma) based in South Africa wished to acquire 3 dugs from GSK with its associated manufacturing plant in France and global staff and distribution structure. This included ongoing arrangements with GSK to continue to supply the relevant drugs.

There were 52 distribution jurisdictions globally, 18 requiring detailed due diligence.

Our English Globalaw member firm was engaged to co-ordinate the process and in turn engaged 18 European Globalaw firms to carry out detailed due diligence based on the data centre.

Countries involved included France, Belgium, Germany Slovenia, Czech Republic, Romania, Greece, Italy, Romania, Poland, Spain, Russia, Netherland, Slovakia, Latvia, Serbia, Hungary, Lithuania, Ukraine and Croatia.

Result

Our English member firm delivered the combined due diligence report on time.

Key Features of note:

    1. One firm acting as liaison firm and one retainer with that firm.
    2. One monthly bill including all other firms’ bills.
    3. Common payment terms agreed. Liaison firm arranged for payment of all 18 firms once paid.
    4. Standard reporting tables/formats established from the outset and used by all firms.
    5. Regular updates from one firm.
    6. Schedules reporting on due diligence exercise and tracking reports
M&A – Burgaflex North America acquires its German sibling

Goehmann (Germany) and Clark Hill PLC (Detroit USA) advised client Burgaflex North America, the leading manufacturer in hydraulic hose production, on the acquisition of 100% of the shares of its German sibling Burgaflex Deuschland GmbH.

International Discovery – USA (Texas) and Taiwan

A client of our USA (Texas) member (Jackson Walker) was engaged in litigation in the USA and needed to obtain documents and other information held by two Taiwan companies. Jackson Walker turned to Taiwan member (Shay & Partners) to assist in obtaining discovery against the Taiwanese companies by way of letters rogatory issued by the US court requesting international judicial assistance. With Shay & Partners’ help, the letters rogatory were prepared and transmitted through the proper diplomatic channels to the Taiwanese district courts with jurisdiction over the target companies.

Cross-Border Immigration Issues.

Gunsters (Miami USA) have been working closely on a complex multi-country immigration matter for a U.S. public company that has opened a subsidiary in Brazil, with our Brazilian member firm Almeida & Partners.

Real Estate Financing

ADVEL (Iceland) advised Arion Bank regarding the real estate financing of an international pharmaceutical company, for the construction of a new science centre to be located in Reykjavik. Working with both the Netherlands and Luxembourg. ADVEL received prompt and precise advice from our Luxembourg member firm, Molitor.

International Expansion

Shay & Partners (Taiwan) helped its client Zoetronics, a Taiwanese company that invented a new heated clothing technology, conclude a distribution deal with Ahlers AG, a leading fashion manufacturer company in Europe. This business opportunity was facilitated when Arthur Shay of Shay & Partners contacted Ulrich von Jeinsen of Goehmann (Germany) who at that time was a member of the Ahlers AG supervisory board.

How we work

When you contact a Globalaw member firm you are plugging into a considerable global resource. If your enquiry is local, it will be dealt with by the local member firm. If it is international our local member will liaise as necessary with other Globalaw member firms. The network is not exclusive, permitting flexibility should your enquiry be in a field that may not be mainstream to another member firm in a relevant jurisdiction, but one in which the local firm can associate other ressources.

We have a 30 minute free time policy which enables us to explore issues and problems without charge to our client. This is very helpful when exploring a matter at the outset.

In multi-jurisdictional matters, a co-ordinating firm can act as central billing point and co-ordinate retainers. The co-ordinating firm can act as your main point of contact throughout if required.
